Welcome to Harp. These Terms of Service ("Terms") govern your access to and use of Harp, an AI-powered document automation desktop application ("Software") provided by Harp ("we," "us," or "our"). By downloading, installing, or using Harp, you agree to be bound by these Terms.
Please read these Terms carefully before using our Software. If you do not agree to these Terms, you may not use Harp.
1. Acceptance of Terms
By downloading, installing, accessing, or using Harp, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Harp on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Harp is a desktop application available for macOS, Windows, and Linux that enables users to process PDFs and images using AI-powered automation. The Software analyzes and extracts information from documents automatically.
Key features include document processing, data extraction, and workflow automation. Your documents are processed securely and are never stored on our servers.
3. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Harp on devices that you own or control, solely for your personal or internal business purposes.
This license does not include the right to:
- Modify, adapt, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law
- Rent, lease, lend, sell, sublicense, or distribute the Software
- Remove, alter, or obscure any proprietary notices on the Software
- Use the Software for any unlawful purpose or in violation of any applicable laws
4. Credits and Processing
Harp uses a credit-based system for document processing. Credits are used when documents are processed through the Software. You are responsible for:
- Purchasing sufficient credits for your document processing needs
- Understanding that credits are deducted based on pages processed
- Keeping your account credentials secure and confidential
Credits do not expire. Unused credits remain in your account until used.
5. User Responsibilities
When using Harp, you agree to:
- Use the Software only for lawful purposes and in accordance with these Terms
- Ensure that you have the necessary rights and permissions to process any documents using Harp
- Not process documents containing illegal content or content that violates third-party rights
- Maintain the security of your account credentials
- Not attempt to circumvent any usage limits or security measures
- Not use the Software to transmit malware, viruses, or harmful code
- Comply with all applicable laws, including data protection and privacy laws
6. Subscription Plans and Payments
Harp offers the following subscription plans:
- Free: 25 pages (one-time) at no cost
- Pro ($29/month): 500 pages per month
- Business ($99/month): 2,000 pages per month
Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.
7. Data Privacy and Security
Your privacy is important to us. Documents processed through Harp are handled securely and are never stored on our servers. Your files are deleted immediately after extraction is complete.

8. Intellectual Property
Harp and all related trademarks, logos, and brand elements are the property of Harp or its licensors. The Software, including its code, design, features, and documentation, is protected by copyright, trademark, and other intellectual property laws.
You retain all rights to the documents you process using Harp. We claim no ownership or rights to your content.
9. Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Software will meet your specific requirements or expectations
- The Software will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Software will be accurate or reliable
- Any errors in the Software will be corrected within a specific timeframe
AI-generated results may contain errors or inaccuracies. You are responsible for reviewing and verifying all output from the Software before relying on it for any purpose.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HARP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Harp and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any rights of another party, including intellectual property rights; or (d) your content or documents processed through the Software.
12. Termination
You may terminate your use of Harp at any time by uninstalling the Software and canceling any active subscriptions. We may suspend or terminate your access to Harp at any time, with or without cause, with or without notice.
Upon termination, your license to use the Software will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice (such as through the Software or via email). Your continued use of Harp after any changes indicates your acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Software shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
15. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Harp regarding the Software.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
